TMX Terms and Conditions
Last updated: July 15, 2026
1. Agreement
These Terms and Conditions ("Terms") govern access to TMX, provided by Carlin Haynes, LLC, doing business as The Media Exchange ("TMX," "we," "us"). The business or individual subscribing ("Client," "you") accepts these Terms by paying for or using the service.
If Client and TMX sign a separate written agreement, that agreement controls where it conflicts with these Terms.
2. The Service
TMX gives Client access to the TMX Terminal and the TMX app. Depending on the plan, this includes newsroom requests, content sharing with newsrooms, media contacts, introductions, and media monitoring.
TMX may update, add, or remove features over time. Access is for Client's own use and the clients Client represents, and may not be resold or shared outside Client's organization without our written approval.
3. Term, Renewal, and Cancellation
Service is month-to-month. Each billing period starts on the date Client's service begins and renews automatically each month on that same date.
Client may cancel at any time by email to stephanie@usetmx.com. Notice received before the next billing date stops the next charge. Service continues through the end of the period already paid.
TMX may suspend or end access for nonpayment or a breach of these Terms.
4. Fees and Payment
Fees are the monthly rate agreed with TMX in writing, including any trial or introductory rate. Fees are paid in advance of each billing period.
TMX prefers payment by credit card through Stripe. Where card payment is not possible, TMX will issue a monthly invoice, and payment is due before the service period begins.
Fees are non-refundable, including for partial months.
5. Use, Content, and Confidentiality
Acceptable use. Client will use the service lawfully and professionally. Client will not send spam, misleading information, or harassing messages to journalists or newsrooms, and will not scrape or bulk export contact data.
Client content. Client grants TMX permission to host, distribute, and display the videos, messages, and materials Client shares to newsrooms and media partners to deliver the service. Client confirms it has the rights needed to share that content.
TMX property. TMX owns the Terminal, the app, and its data, design, and technology. These Terms give Client a right to use the service, not ownership of it.
Confidentiality. Each party will keep the other's non-public business information confidential and use it only for this relationship.
6. Disclaimers and Liability
No guaranteed coverage. TMX connects Client with newsrooms but does not control editorial decisions. TMX does not guarantee any media placement, interview, or coverage.
Service provided as is. TMX works to keep the service accurate and available but does not guarantee it will be error-free or uninterrupted. Contact and third-party data may change without notice.
Limit of liability. Neither party is liable for indirect or consequential damages, including lost profits. TMX's total liability is limited to the fees Client paid in the three months before the claim.
Indemnity. Client is responsible for claims arising from content it shares through the service.
7. General
These Terms are governed by the laws of the State of Delaware. TMX may update these Terms with 30 days' notice to Client by email. If any part is found unenforceable, the rest stays in effect.
